These Terms of Service (“Terms”) govern your access to and use of the website at https://orbitula.com and the related tools, calculators, and logistics services (collectively, the “Services”) provided by Orbitula Logistics (“Orbitula,” “we,” “us,” or “our”). By accessing or using the Services, you agree to be bound by these Terms.
1. Eligibility & Accounts
- You must be at least the age of majority in your jurisdiction to use the Services.
- When creating an account, you agree to provide accurate information and to keep your credentials secure.
- You are responsible for all activities under your account.
2. Use of the Services
- Do not use the Services for unlawful purposes or to ship prohibited items (including hazardous or restricted goods where not permitted).
- Do not interfere with or disrupt the Services, attempt to access non-public areas, or reverse engineer components.
- We may modify or discontinue features at any time to improve reliability, security, or compliance.
3. Quotes, Orders & Payments
- Rates shown by our calculators are estimates based on inputs (origin, destination, method, speed, and weight) and may change due to carrier surcharges, dimensional weight, customs, or address corrections.
- Orders are confirmed only after acceptance and payment authorization. Some orders may require additional verification.
- You authorize us and our payment processors to charge the amounts due, including applicable taxes, duties, and surcharges.
4. Shipments & Delivery
- Transit times are estimates and exclude delays caused by customs, inspections, weather, or carrier capacity.
- You are responsible for providing accurate addresses and contact details. Re-delivery or address correction fees may apply.
- Risk of loss transfers to you upon carrier acceptance, subject to carrier terms. Optional insurance may be available.
5. Customs, Duties & Compliance
- International shipments may be subject to import duties, VAT, and local taxes, which are your responsibility unless we explicitly state otherwise in writing.
- You are responsible for ensuring that shipped items comply with applicable export, import, and sanctions laws.
6. Intellectual Property
The Services, including content, logos, and software, are protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works except as permitted by law or with our written permission.
7. Third-Party Services
The Services may integrate with or link to third-party websites and carriers. We are not responsible for their content, terms, or privacy practices.
8. Disclaimers
The Services are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
9. Limitation of Liability
To the maximum extent permitted by law, Orbitula will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenues. Our aggregate liability for claims relating to the Services will not exceed the amounts you paid to us in the six (6) months prior to the event giving rise to the claim.
10. Indemnification
You agree to indemnify and hold harmless Orbitula from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services or violation of these Terms or applicable law.
11. Suspension & Termination
We may suspend or terminate access to the Services for suspected abuse, non-payment, legal risk, or security concerns. You may stop using the Services at any time.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of the jurisdiction where Orbitula Logistics is headquartered, without regard to conflict of laws principles. Courts with jurisdiction over our principal place of business will have exclusive jurisdiction, unless applicable law requires otherwise.
13. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on https://orbitula.com with an updated effective date. Continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
